THIS ASSIGNMENT dated as of Effective Date of Assignment (ie. July 1, 2000) between Name of Person Assigning (Transferring), of Address of Person Assigning (Transferring) (the "Assignor") and Name of Person Receiving Assignment (Transfer), of Address of Person Receiving Assignment (Transfer) (the "Assignee").

IN CONSIDERATION of the mutual covenants and conditions hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1.                  The Assignor hereby assigns to the Assignee all of the Assignor's right, title and interest in and to Describe in detail the subject matter being assigned to Assignee (ie. the photocopier lease between the Assignor and ABC Corporation) (the "Assigned Property").

2.                  The Assignor represents and warrants that:

(a)               It has the full power and capacity to enter into this Agreement and effect the assignment contemplated herein;

(b)               It has not previously assigned any right, title or interest in and to the Assigned Property; and

(c)               The Assigned Property is owned by the Assignor free and clear of all mortgages, charges, security interests, liens, encumbrances and other rights of third parties whatsoever.

3.                  This Agreement is sets forth the entire agreement between the parties relating to the subject matter hereof and stands in the place of any previous agreement, whether oral or in writing. The parties agree that no amendment to this Agreement shall be binding upon the parties unless it is in writing and executed by both parties.

4.                  This Agreement shall ensure to the benefit of and be binding upon the respective heirs, executors, administrators and assigns of each of the parties hereto.
