Agreement made this _________, between _________ of _________, seller, and _________ of _________, buyer.

1. Seller agrees to sell to buyer, who agrees to purchase at valuation and on terms mentioned below, all the stock, implements, and utensils in trade, household furniture, fixtures, fittings, and effects specified in schedule A attached [omitted], now being in, on, and about hotel, called "the _________ hotel," its cellars, stores, garage, outbuildings, yards, and premises, which now are in occupation of seller, situated at _________.

2. The valuation shall be made on or before _________, 19__, up to which time all outgoings in respect of hotel and business shall be defrayed by seller, when amount of such valuation shall be paid to seller, who will then deliver to buyer, or buyer's agent, full and peaceable possession of hotel and premises, and also of stock in trade, furniture, fixtures, fittings, and effects.

3. The valuation shall be made by two persons, one to be chosen by each party, or by an umpire to be chosen by such appraisers before entering upon such valuation; and in case either party shall neglect or fail to make such appointment within _________ days from the date of this agreement date, or if either of such valuers or the umpire shall refuse or neglect to proceed and complete such appraisal within _________ days, of their appointment, the appraiser of the other of them shall proceed alone, and the appraiser's valuation shall then be binding and conclusive upon both the parties.

4. In case buyer shall refuse or neglect to pay amount of such valuation on _________, 19__, or if seller shall, on an offer, in writing, of the purchase money, delivered, or left at the hotel, refuse or neglect to deliver up possession, and of all the outbuildings and premises, and of stock in trade, furniture, fixtures, fittings, and effects, or to deliver over and transfer licenses relating to hotel and premises and the business of them, defaulting party shall forfeit and pay to the other of them $_____ for liquidated damages between them; and then these presents shall become void.
