a. That amount, date and maturity date of each account is correctly set out in the above schedule.

b. That full deliveries of the merchandise evidenced by each of the accounts and bills of lading have been made in accordance with the specifications of the purchaser of merchandise mentioned in the accounts and bills of lading.

c. That amounts due, or to be become due, on the accounts are not in dispute; that there are no setoffs or counterclaims against any of the accounts; that the payment of the accounts is not contingent upon the fulfillment of any other contract, past or future.

d. Assignor guarantees that the accounts, and each of them, will be paid and applied on the advancement made by assignee on or before their respective maturity dates, without any deductions of any kind whatsoever or expense incurred in the collection of the same.

e. That assignor will permit assignee or its duly authorized agent, employee, attorney or accountant, to audit and inspect the books, records and correspondence of assignor relative or pertaining, or in any manner whatsoever bearing upon, the accounts, or the payment of the accounts, or the goods or the merchandise represented by the accounts.
